General Terms and Conditions (GTC)

§ 1 Scope of Application

(1) These General Terms and Conditions (GTC) apply to purchase contracts and deliveries by seaEQ GmbH, Kiewittstraße 51, 47638 Straelen, Germany, to consumers and business customers.

(2) They apply to orders placed through our online shop at www.seaeq.com as well as orders placed outside the online shop, in particular on the basis of individual quotations, written orders or orders submitted by email.

(3) A consumer is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business or independent professional activity.

(4) A business customer is any natural or legal person or partnership with legal capacity acting in the exercise of their commercial or independent professional activity when entering into a legal transaction.

(5) These GTC also apply to future business relationships with business customers, provided that they have been validly incorporated into the respective business relationship.

(6) We object to any conflicting or supplementary general terms and conditions of the customer. Such terms shall only become part of the contract if seaEQ GmbH expressly agrees to their application.

(7) Individual agreements between seaEQ GmbH and the customer shall take precedence over these GTC.

§ 2 Contracting Party and Conclusion of Contract

(1) The contracting party is:

seaEQ GmbH
Kiewittstraße 51
47638 Straelen
Germany

Managing Director: Torsten Dittrich
Email: info@seaEQ.com
Telephone: +49 2839 5684387

(2) Conclusion of Contract in the Online Shop

The presentation of our products in the online shop constitutes a binding offer to conclude a purchase contract for the respective products.

Customers may initially place products in their shopping cart without obligation and review and correct their entries before completing the ordering process.

By clicking the final order button, which clearly indicates the obligation to pay, the customer accepts the offer for the goods contained in the shopping cart. The purchase contract is thereby concluded.

Immediately after completing the order, the customer receives a confirmation by email.

(3) Conclusion of Contract Outside the Online Shop

For orders placed outside the online shop, particularly by email, on the basis of individual quotations or within existing business relationships, the conclusion of the contract is governed by the respective declarations of the contracting parties.

A quotation expressly designated as binding by seaEQ GmbH may be accepted by the customer within its stated period of validity.

Unless a quotation is expressly designated as binding, it generally constitutes an invitation to submit an order. In such cases, the contract is concluded when seaEQ GmbH accepts the order, for example by issuing an order confirmation.

(4) Incorporation of the GTC

For orders placed outside the online shop, these GTC are made available to the customer before the conclusion of the contract, or the customer is informed of their application and given a reasonable opportunity to review them.

Individual quotations and order confirmations include a reference to the application of these GTC.

The incorporation of the GTC is subject to the applicable statutory provisions.

§ 3 Contract Language and Storage of Contractual Information

(1) The seaEQ GmbH online shop is available in German, English, French, Italian and Spanish. Contracts may be concluded in any of these five languages.

(2) For orders and individual business transactions outside the online shop, contractual communication takes place in German or English. Quotations, order confirmations, delivery notes and invoices for such transactions are issued in German or English.

(3) The applicable contract language is the language used and agreed upon by the contracting parties when concluding the respective contract.

(4) For orders placed through the online shop, we store the contractual information and provide the customer with the order details and these GTC in text form, particularly by email. Where a customer account has been created, order information may also be viewed there.

(5) For business transactions outside the online shop, the conclusion of the contract is documented in particular through quotations, orders and order confirmations.

§ 4 Prices, Delivery and Shipping

(1) For orders placed through the online shop, the prices displayed at the time the contract is concluded shall apply. For individual business transactions outside the online shop, the prices agreed in the respective quotation or order confirmation shall apply.

(2) Prices for consumers are displayed inclusive of statutory value-added tax (VAT), where applicable. Prices for business customers may be stated as net prices plus applicable VAT.

(3) Any additional shipping costs are indicated in the online shop or in the respective quotation or order confirmation.

(4) Delivery is generally made by shipment. Collection of goods from the premises of seaEQ GmbH is possible by prior arrangement.

(5) The delivery times stated in the online shop apply to the respective standard products unless otherwise specified on the product page.

For deliveries within Germany, the standard delivery time is generally 1–2 working days. For deliveries within the European Union, it is generally 3–5 working days, unless a different delivery time is specified for the respective product.

(6) Delivery times for custom-made products, individually manufactured products and larger orders are agreed separately or specified in the respective quotation or order confirmation.

(7) Separate delivery terms may be agreed for international deliveries. Where expressly agreed, delivery shall be made under DAP (Delivered at Place) in accordance with Incoterms® 2020.

Deliveries to countries outside the European Union may be subject to import duties, customs charges and other fees. Unless expressly agreed otherwise and to the extent permitted by law, these charges shall be borne by the recipient. Any additional costs and payment terms shall be communicated in accordance with applicable statutory information requirements.

(8) The customer's statutory rights in the event of delayed delivery remain unaffected.

§ 5 Payment Terms

(1) The payment methods displayed during the checkout process are available in the online shop. These include in particular:

  • Advance payment by bank transfer
  • PayPal
  • Credit card payment via Stripe

(2) Advance Payment

When advance payment is selected, the customer receives the bank details required for the transfer. Goods are shipped after full payment has been received, unless otherwise agreed.

(3) PayPal

When PayPal is selected, payment is processed through the PayPal payment service provider. The provider's applicable terms of use and payment conditions additionally apply to the payment transaction.

(4) Credit Card

When credit card payment is selected, the technical processing of the payment is carried out through Stripe. The necessary payment information is processed as part of the respective payment transaction.

(5) Purchase on Invoice for Dealers and Business Customers

seaEQ GmbH may offer payment on invoice to commercial customers and dealers following prior approval. There is no entitlement to this payment method.

Where payment on invoice has been agreed, the payment deadlines expressly specified in the respective quotation, order confirmation or invoice shall apply.

Individually agreed payment terms, including payment periods and early-payment discounts, take precedence over the general payment terms.

An early-payment discount may only be deducted if expressly agreed and if the specified conditions have been met.

Unless otherwise agreed, the invoice amount must be paid in full, without deductions, within the agreed or specified payment period.

(6) In the event of late payment, the statutory provisions shall apply.

§ 6 Retention of Title

(1) The delivered goods remain the property of seaEQ GmbH until the purchase price has been paid in full.

(2) In relation to business customers, we retain title to the delivered goods until all outstanding claims arising from the ongoing business relationship have been settled in full.

(3) Business customers are entitled to resell goods subject to retention of title in the ordinary course of business. Claims against third parties arising from such resale are hereby assigned to seaEQ GmbH in advance up to the amount of the respective invoice. We accept this assignment.

(4) The business customer remains authorised to collect these claims as long as they duly fulfil their payment obligations. If the business customer fails to meet their payment obligations, we are entitled to collect the assigned claims ourselves in accordance with the applicable statutory provisions.

§ 7 Statutory Rights in the Event of Defects and Guarantees

(1) Unless otherwise validly agreed below, the statutory rights relating to defective goods shall apply.

(2) Consumers

Consumers retain their statutory rights in the event of defective goods without restriction.

(3) Business Customers

For business customers, the limitation period for claims relating to defects in newly manufactured goods is generally one year from the commencement of the statutory limitation period, insofar as such a reduction is legally permissible.

Mandatory statutory limitation periods and rights of recourse remain unaffected.

(4) In relation to business customers, the agreed characteristics of the goods include, in particular, the product descriptions, technical specifications and individually agreed properties incorporated into the contract.

(5) If delivered goods are defective, subsequent performance for business customers shall, at our discretion, initially take the form of repair or replacement, insofar as legally permissible. Further statutory rights in the event of defects remain unaffected.

(6) The statutory duties of inspection and notification of defects pursuant to Section 377 of the German Commercial Code (HGB) apply to merchants.

(7) The above limitations do not apply to claims arising from injury to life, body or health, intentional misconduct, gross negligence, fraudulent concealment, breach of material contractual obligations or where mandatory statutory provisions provide otherwise.

(8) Any voluntary commercial guarantee extending beyond statutory rights relating to defective goods is provided only if expressly declared and the applicable guarantee conditions are communicated accordingly.

§ 8 Liability

(1) seaEQ GmbH shall be liable without limitation in cases involving:

  • Injury to life, body or health;
  • Intentional or grossly negligent breaches of duty;
  • Expressly assumed guarantees, provided their conditions are met;
  • Claims under the German Product Liability Act (Produkthaftungsgesetz);
  • Any other cases in which liability is mandatory under applicable law.

(2) In the event of a slightly negligent breach of material contractual obligations, our liability shall be limited to the foreseeable damage typical for the contract at the time of its conclusion.

Material contractual obligations are obligations whose fulfilment is essential for the proper performance of the contract and upon whose compliance the contracting party may regularly rely.

(3) In all other respects, liability for damages is excluded to the extent permitted by law.

(4) The above liability provisions apply accordingly to our legal representatives and vicarious agents.

§ 9 Right of Withdrawal and Consumer Dispute Resolution

(1) Right of Withdrawal

Consumers generally have a statutory right of withdrawal in distance contracts. Details are provided in our separate withdrawal instructions, which are available in the online shop.

For contracts concerning the supply of goods that are not prefabricated and for whose manufacture an individual choice or decision by the consumer is decisive, or goods that are clearly tailored to the consumer's personal needs, the statutory right of withdrawal may be excluded pursuant to Section 312g (2) No. 1 of the German Civil Code (BGB).

The applicable statutory requirements and exceptions remain decisive.

(2) Consumer Dispute Resolution

seaEQ GmbH is neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration body.

§ 10 Final Provisions

(1) Contracts with business customers shall be governed by German law, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

(2) Contracts with consumers shall be governed by German law, without prejudice to the mandatory consumer protection provisions of the country in which the consumer has their habitual residence, insofar as such provisions apply under the relevant conflict-of-law rules.

(3) If the customer is a merchant within the meaning of the German Commercial Code (HGB), a legal entity under public law or a special fund under public law, the registered office of seaEQ GmbH shall be the exclusive place of jurisdiction for disputes arising from the contractual relationship, insofar as legally permissible.

(4) Mandatory statutory provisions remain unaffected by these General Terms and Conditions.
